Terms of Service

These Terms of Service (the "Terms") govern access to and use of the Shalyx produce recognition service, including the Shalyx kiosk hardware, the on-device software, the cloud dashboard at shalyx.com, and all related software, updates, and support (together, the "Service"). The Service is provided by [ENTITY NAME] ("Shalyx", "we", "us").
By signing a Shalyx Service Agreement, creating or using a dashboard account, or installing or operating a Shalyx kiosk, you ("Customer", "you") agree to these Terms on behalf of the business you represent. If you do not agree, do not use the Service.
Where a signed Service Agreement between you and Shalyx conflicts with these Terms, the Service Agreement controls for that conflict.
1. The Service
Shalyx provides a kiosk that is placed at a checkout lane or self-checkout station. A camera on the kiosk captures images of produce placed on the scale, an on-device model identifies the item, and the kiosk enters the corresponding PLU code into your point-of-sale system by emulating a keyboard. The cloud dashboard lets you monitor devices, review scans, manage your store's PLU catalog, and view analytics.
The Service is a business-to-business tool for grocery retailers. It is not offered to consumers.
2. Accounts
Dashboard accounts are created by Shalyx by invitation. You are responsible for everyone who accesses the Service through your store's accounts, for keeping credentials confidential, and for telling us promptly if an account is compromised or a user should be removed.
You must provide accurate business and contact information and keep it current.
3. Hardware
Unless a Service Agreement says otherwise, kiosk hardware remains the property of Shalyx and is provided to you for use at the store location for which it was provisioned, for the duration of your subscription.
You agree to: keep the kiosk connected to power and to the internet; not open, modify, repair, or attach unapproved equipment to it; not move it to a different store without notice to us; and return it in good condition, normal wear excepted, within 14 days after your subscription ends. Hardware that is lost, not returned, or damaged beyond normal wear is charged at replacement cost.
4. Fees and payment
Current pricing is a one-time setup fee of $499 per device and a subscription of $99 per device per month. Setup fees are due before a device ships. Subscription fees are invoiced monthly in advance and are due within 15 days of the invoice date.
Prices are subject to change. We will give you at least 30 days' written notice before a price change takes effect on your subscription. Continued use of the Service after the effective date constitutes acceptance of the new price.
Overdue amounts may accrue interest at 1.5% per month or the maximum permitted by law, whichever is less. If an invoice is more than 30 days overdue we may suspend the Service, including remotely disabling devices, until the balance is paid. Fees are exclusive of taxes; you are responsible for any sales, use, or similar taxes other than taxes on our income.
Fees are non-refundable except where a Service Agreement or applicable law says otherwise.
5. Scan images and data
The kiosk captures images of items placed on the scale and uploads them, with related metadata such as the predicted item, confidence, the PLU sent, and any correction made by your staff (together, "Scan Data"), to Shalyx's cloud.
Shalyx owns all Scan Data and all models, datasets, statistics, and other works derived from it. You assign to Shalyx any rights you may have in Scan Data. Shalyx may use Scan Data for any purpose, including training and improving recognition models, and may retain it indefinitely, including after your subscription ends.
You may view Scan Data for your own store inside the dashboard solely to operate the Service — for example, to review and correct identifications. You may not copy, download, extract, publish, sell, license, or otherwise use Scan Data for any other purpose, and you may not permit anyone else to do so.
You keep ownership of your own business information — your store name, PLU catalog, pricing, and account details ("Customer Data"). You grant Shalyx a licence to use Customer Data as needed to provide, support, and improve the Service.
6. Your responsibilities
The kiosk camera is pointed at the scale, but images may incidentally include hands, clothing, or other parts of a person at the lane. You are responsible for complying with all laws that apply to operating a camera in your store, including posting any notice to customers or employees that your jurisdiction requires, and for obtaining any consent that may be needed.
You are responsible for the accuracy of your store's PLU catalog and prices, for configuring the kiosk correctly for your point-of-sale system, and for training your staff to confirm or correct the kiosk's identification where the kiosk asks for confirmation.
7. Recognition accuracy
The Service uses machine-learning models. Recognition is probabilistic and will sometimes be wrong. The Service is designed to assist a cashier or customer, not to replace their judgement, and the final decision about what is rung up remains yours.
Shalyx makes no guarantee about the accuracy of any identification. Shalyx is not responsible for pricing errors, lost revenue, inventory discrepancies, or any other loss that results from an incorrect or missed identification.
8. Remote management and updates
Kiosks connect to Shalyx's cloud to report health, download software and model updates, and receive commands such as restart or configuration changes. You agree that Shalyx may access, update, reconfigure, and if necessary disable devices remotely, and that devices may send diagnostic logs to Shalyx.
We may change, add, or remove features of the Service. We will not materially reduce the core functionality you pay for during a paid period without notice.
9. Acceptable use
You may not: reverse engineer, decompile, or extract the models or software on the kiosk or in the dashboard; circumvent any security or licensing control; use the Service to build a competing product; resell or sublicense the Service; interfere with the Service or other customers; or use the Service in violation of any law.
10. Intellectual property
Shalyx and its licensors own the Service, including all hardware designs, software, models, galleries, documentation, and trademarks. Other than the limited right to use the Service under these Terms, no rights are granted to you. If you give us feedback or suggestions, we may use them without obligation to you.
11. Confidentiality
Each party will keep the other's non-public business information confidential and use it only to perform under these Terms. This does not apply to information that is public through no fault of the receiving party, was already known to it, or must be disclosed by law.
12. Term and termination
Subscriptions run month to month from the date a device is activated and renew automatically. Either party may cancel a subscription with at least 30 days' written notice. Shalyx may suspend or terminate the Service immediately if you materially breach these Terms, fail to pay, or if continued service would expose Shalyx to legal liability.
On termination you must stop using the Service and return the hardware as described in the Hardware section. Your dashboard access ends. Scan Data remains Shalyx's property and is not returned or deleted on termination. Sections on fees owed, Scan Data, intellectual property, confidentiality, disclaimers, limitation of liability, and governing law survive termination.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, SHALYX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. SHALYX DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY IDENTIFICATION WILL BE CORRECT.
14. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SHALYX WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE SERVICE, HOWEVER CAUSED.
SHALYX'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE SUBSCRIPTION FEES YOU PAID TO SHALYX IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
15. Indemnity
You will defend and indemnify Shalyx against claims, losses, and expenses (including reasonable legal fees) arising from your use of the Service in violation of these Terms or applicable law, including any claim relating to camera notice or consent requirements at your store.
16. Changes to these Terms
We may update these Terms. We will post the updated Terms at shalyx.com/terms and update the date above, and for material changes we will notify you by email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
17. Governing law and disputes
These Terms are governed by the laws of the State of [STATE], without regard to its conflict-of-laws rules. The state and federal courts located in [COUNTY, STATE] have exclusive jurisdiction over any dispute arising from these Terms, and each party consents to that jurisdiction.
18. General
These Terms, together with any Service Agreement and the Privacy Policy, are the entire agreement between you and Shalyx about the Service. If any provision is unenforceable, the rest remain in effect. Neither party is liable for delay caused by events outside its reasonable control. You may not assign these Terms without our consent; we may assign them to a successor of our business. Notices to Shalyx must be sent to support@shalyx.com.
